Compliance and Legal Considerations

The relevant International Operation INOVATEK (INOVATEK INC.) will use the information provided in this Vendor form to review and achieve compliance with Guyanese and international anti-corruption and fair competition laws and principles, including:

Definition of a Public Official

A “Public Official” should be broadly interpreted and includes the following:

Officials, employees, representatives of governments, and any other person acting on behalf of a government (or otherwise authorized to act under official right).
Officials, employees, or representatives of public international organizations.

Important Notes

NOTE: If the Supplier has submitted the Vendor form within the past twelve months, it is not necessary for the Supplier to complete a new Vendor form. Instead, it is sufficient if the Supplier updates earlier answers with any new information that has arisen during the intervening period (e.g., change in ownership, address, etc.) and certifies continued compliance with applicable laws.

Part F - Declaration of Compliance

The undersigned (“Supplier”) hereby represents, warrants, and certifies to INOVATEK International Operation as follows:

The Supplier has received a copy of, and been informed about, the INOVATEK Code of Conduct. While providing Services below for INOVATEK International Operation, the Supplier agrees to abide by the INOVATEK International Code of Conduct. Specifically, the Supplier has not and will not offer, promise, arrange for, or pay, either directly or indirectly, anything of value to a Public Official for the purpose of inducing a Public Official to perform or fail to perform his official duties to assist the Supplier or INOVATEK International Operation in obtaining business, retaining business, or securing any improper advantage. The Supplier has not and will not, through any act, omission, or misrepresentation, knowingly or recklessly mislead or attempt to mislead another party to obtain a financial or other benefit or to avoid an obligation for itself or INOVATEK International. The Supplier has not and will not engage in any arrangements with other parties designed to achieve an improper 13 The Smart Way Forward In Reaching New Frontiers purpose, including colluding with another party to improperly influence a bid process for INOVATEK International.

The Supplier is also familiar with and understands the provisions of all applicable anti-bribery, anti-corruption, fair competition, bidding and procurement laws of the countries in which it does business related to INOVATEK International Operation. The Supplier has not engaged in any conduct that violates any such laws of these countries and will perform his duties in full compliance with such legislation.
The Supplier declares that neither the corporate or other entity he represents, nor any of its executives or employees, is under current criminal investigation or has been subject to any civil or criminal enforcement actions, at home or abroad, for improper conduct relating to bribery, corruption, collusion, false statements in bidding or procurement, or violation of the laws governing business entities.
The Supplier does not have any owners or other beneficiaries that have not been disclosed to INOVATEK International in the Vendor form (aside from beneficiaries of public companies holding less than 5% ownership).
The services the Supplier is providing or will provide to INOVATEK International Operation do not violate any commitments the Supplier has to any other clients, including, but not limited to any confidentiality or exclusivity agreements the Supplier has with other clients.

The Supplier agrees that if at any time the representations, warranties, and certifications herein are no longer accurate and complete, the Supplier will immediately notify INOVATEK International Operation and provide a supplementary report detailing such change.
